Terms of Service

Eligibility and accounts

You must be at least 18 and legally able to enter this agreement. If you use MemoryTree for an organisation, you confirm that you may bind that organisation. You are responsible for activity under your account and for protecting your devices, sessions, and MCP credentials. Notify esam@etls.studio promptly if you suspect unauthorised access.

The Service and AI features

MemoryTree stores, organises, processes, searches, and shares user-provided content and permits authorised retrieval through connected tools. Features, models, and integrations may change. Unless separately agreed, there is no service-level guarantee, and you should keep independent copies of important information.

AI-derived text, entities, relationships, and search results may be inaccurate or incomplete. You must review important outputs. MemoryTree is not professional legal, medical, financial, employment, or safety advice and must not be the sole basis for high-impact decisions.

Your content

You retain ownership of your content. You give MemoryTree and its service providers a limited, worldwide, non-exclusive licence to host, copy, convert, transmit, index, analyse, and display it only as reasonably necessary to provide, secure, support, and operate the Service, comply with law, and follow your sharing and integration instructions.

You must have the rights and lawful basis needed to submit and process your content. Do not upload passwords, private cryptographic keys, full payment-card numbers, unlawful material, or highly regulated data requiring safeguards we have not agreed to in writing.

Sharing and external tools

You control team membership, sharing, and integrations. When you authorise an MCP or other third-party client, you instruct MemoryTree to send it content validly requested within the granted access. The recipient’s own terms apply after receipt. Revocation stops new retrieval but cannot recall copies already received.

Acceptable use

You must not violate law or another person’s rights; access another user’s data without permission; upload malware or illegal harmful content; bypass security or usage limits; interfere with the Service; or use it for automated high-impact decisions without legally required human review and safeguards. We may restrict access where reasonably necessary to address misuse, security risks, non-payment, or legal requirements.

Subscriptions

Prices, plan limits, billing periods, taxes, and any trial conversion are shown before purchase. Stripe processes payments. Paid subscriptions renew automatically for the displayed period until cancelled. Cancel through the billing portal before renewal to avoid the next charge. Except where law requires otherwise or checkout states otherwise, fees already paid are non-refundable.

EU/EEA consumers may have a 14-day statutory withdrawal right. If you expressly request immediate performance and later withdraw, you may owe a proportionate amount for service already supplied. A withdrawal right is lost only where applicable law permits and the required consent and acknowledgement were obtained. Contact esam@etls.studio to exercise a statutory right.

Ownership and termination

MemoryTree and its licensors own the Service, software, branding, and documentation. You may stop using the Service and cancel a subscription at any time. Cancellation does not automatically delete your account. We may suspend or terminate access for a material breach, non-payment, urgent security risk, misuse, or legal requirement, with notice where reasonably possible.

Disclaimers and liability

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We do not guarantee uninterrupted operation, perfect security, permanent availability of integrations, preservation of every item, or accuracy of AI-assisted output.

To the fullest extent permitted by law, MemoryTree is not liable for indirect, special, incidental, punitive, or consequential loss, or loss of profit, revenue, business opportunity, goodwill, or data. Our total aggregate liability relating to the Service or these Terms will not exceed the greater of the amount you paid MemoryTree during the 12 months before the relevant event or EUR 100 (or the equivalent in SEK).

These exclusions do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or liability that mandatory law does not allow us to exclude or limit. Statutory consumer rights remain unaffected.

If you use the Service for business purposes, you will indemnify MemoryTree against reasonable third-party claims arising from your unlawful content, infringement of third-party rights, or material breach of these Terms. This does not apply to consumers or to claims caused by MemoryTree’s own breach or unlawful conduct.

Changes and disputes

We may update these Terms for legal, security, operational, or product reasons. Material changes affecting active paid users will receive reasonable advance notice where practicable.

Swedish law governs these Terms. Business disputes are subject to the courts of Sweden, with Stockholm District Court as first instance unless mandatory law requires otherwise. Consumers retain mandatory protections and available courts in their country of residence. Swedish consumers may refer eligible disputes to Allmänna reklamationsnämnden (ARN), arn.se.
